Publisher Agreement

Every publisher accepts this agreement before submitting leads to RealLead.

1. What RealLead is

RealLead is a marketplace that connects independent lead publishers (you) with home-service businesses that buy leads (buyers). RealLead does not generate leads, does not advertise to homeowners on your behalf, and does not control how you find, contact or sign up homeowners.

You are an independent business. Nothing in this agreement makes you an employee, agent, partner or joint venturer of RealLead, and you may not say or imply that you act for RealLead or any buyer.

2. Your responsibility for every lead

You are solely and fully responsible for how each lead you submit was generated and for your compliance with every law that applies to it, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, the National and state Do Not Call rules, state telemarketing and "mini-TCPA" laws, call-recording consent laws, and CAN-SPAM.

For every lead you promise that: (a) the homeowner is a real person who personally asked to be contacted about the service described; (b) you obtained their prior express written consent, in clear language that covers calls and texts (including automated calls and texts) from RealLead and its home-service partners, before submitting the lead; (c) the information, consent language, screenshots, recordings and other evidence you provide are true, complete and unedited; (d) the appointment you report was actually requested by the homeowner; and (e) the homeowner is not, to your knowledge, a TCPA litigator or someone who has asked not to be contacted.

RealLead's checks (public-records review, litigator scrub, verification call) are for RealLead's own protection. They do not shift any of your responsibility to RealLead, and a lead passing them does not mean it complies with the law.

3. Indemnity

You will defend, indemnify and hold harmless RealLead, its owners, officers and contractors, and the buyers of your leads, from any claim, demand, lawsuit, fine, settlement, judgment, cost or attorney's fees arising from: any lead you submitted; any TCPA, Do Not Call, litigator or consent claim related to your leads; fraud or misrepresentation; or your breach of this agreement. This applies even after your account is closed.

4. Fraud, holds and clawbacks

If RealLead detects or reasonably suspects fraud or a breach of this agreement (for example, a homeowner tells our verification call or a buyer that they never signed up, evidence appears altered or reused, or a lead belongs to a known litigator), RealLead may, without prior notice: deny the lead; withhold or freeze any unpaid earnings on any of your leads; remove your leads from the marketplace; suspend or close your account; and recover amounts already paid for fraudulent leads by offsetting them against future earnings or invoicing you.

RealLead will tell you why a lead was denied and, where a verification call was recorded, give you access to the recording. If an investigation clears you, frozen earnings are released.

5. Payment

You are paid the payout shown for a trade only for leads that pass verification, are purchased by a buyer, and are not refunded. Payouts become payable 72 hours after the appointment date, provided no dispute or fraud report is open. Leads that are denied, rejected, refunded or found fraudulent are not paid.

You are responsible for your own taxes and must provide accurate tax information (such as a W-9) when asked.

6. Records

You will keep the consent record, opt-in page, recordings and messages for each lead for at least five (5) years, and provide them to RealLead within two (2) business days of a request.

7. No liability for RealLead

RealLead provides the marketplace "as is". To the fullest extent the law allows, RealLead is not liable for how you generate leads, for buyers' conduct, or for any indirect, incidental or consequential damages. RealLead's total liability to you under this agreement is limited to the unpaid payouts owed to you for the thirty (30) days before the claim.

8. General

RealLead may update this agreement; you will be asked to accept the new version before submitting more leads. Either side may end this relationship at any time; sections 2, 3, 4, 6 and 7 survive. If any part is unenforceable, the rest still applies. By clicking "I agree", you accept this agreement on behalf of yourself and the business you represent.
